1. Introduction

Welcome to TechPro Informatics ("Company", "we", "our", "us"). These Terms of Service ("Terms", "Terms of Service") govern your use of our website located at www.techproltd.africa (the "Service") and all related services operated by TechPro Informatics.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2. Services Description

TechPro Informatics provides a range of technology consulting and implementation services, including but not limited to:

  • Cybersecurity services, including security assessments, implementation, and management
  • Cloud architecture design, migration, and optimization services
  • AI and analytics solutions and consulting
  • Software engineering, development, and maintenance
  • IT infrastructure design and management
  • Digital transformation consulting

The specific deliverables, timelines, and terms for each service engagement will be defined in separate service agreements or statements of work between TechPro Informatics and the client.

3. User Responsibilities and Acceptable Use

By using our Service, you agree to:

  • Provide accurate, current, and complete information when using our services
  • Maintain the security of any account credentials, API keys, or access tokens provided to you
  • Promptly notify us of any unauthorized use of your account or any other breach of security
  • Not use the Service for any illegal or unauthorized purpose
  • Not attempt to probe, scan, or test the vulnerability of our systems or networks
  • Not interfere with or disrupt the integrity or performance of the Service or third-party data contained therein
  • Not distribute malware, spyware, or any other harmful code through our Service
  • Comply with all applicable laws, regulations, and industry best practices

4. Intellectual Property Rights

4.1 Our Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of TechPro Informatics and its licensors. The Service is protected by copyright, trademark, and other laws of both Kenya and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of TechPro Informatics.

4.2 Client Materials and Data

Clients retain all rights to their own data, content, and materials provided to TechPro Informatics in the course of service delivery. TechPro Informatics will not use client materials for any purpose other than providing the contracted services unless explicitly authorized by the client.

4.3 Service Deliverables

Unless otherwise specified in a service agreement, ownership of deliverables created by TechPro Informatics will transfer to the client upon full payment for the services rendered. TechPro Informatics may retain a license to use general knowledge, skills, and experience acquired during the performance of services.

5. Limitation of Liability

In no event shall TechPro Informatics, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

The total liability of TechPro Informatics for any claim arising out of or relating to these Terms or our Service shall not exceed the amount paid by you to TechPro Informatics during the 12-month period preceding such claim.

6. Service Level Agreements

For ongoing service engagements, TechPro Informatics may provide specific Service Level Agreements (SLAs) that define performance standards, response times, and availability commitments. These SLAs will be documented in separate agreements and will specify:

  • Service availability targets
  • Response time commitments for support requests
  • Resolution time commitments for various severity levels
  • Measurement and reporting procedures
  • Consequences for failure to meet SLA commitments

Generic SLAs may be provided in our standard terms, but custom SLAs can be negotiated for enterprise clients with specific requirements.

7. Payment Terms

Payment terms for TechPro Informatics services will be specified in individual service agreements or statements of work, but generally adhere to the following principles:

  • Payment is due within 30 days of invoice date unless otherwise specified
  • For fixed-price engagements, payment milestones will be specified in the service agreement
  • For time-and-materials engagements, invoices will be issued monthly based on actual hours worked
  • Late payments may be subject to interest charges of 1.5% per month
  • TechPro Informatics reserves the right to suspend services for accounts with payments more than 60 days overdue

All fees are exclusive of applicable taxes, which will be added to invoices as appropriate.

8. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account or engagement with us, you may simply discontinue using the Service or contact us for formal termination procedures.

9. Changes to Services or Terms

TechPro Informatics reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

We also reserve the right to modify these Terms of Service at any time. We will provide notification of material changes to the terms by posting a notice on our website or sending an email to the primary contact email on file.

Your continued use of the Service after such modifications will constitute your acknowledgment of the modified Terms and agreement to abide and be bound by the modified Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Nairobi, Kenya, using the rules of the Chartered Institute of Arbitrators, Kenya Branch.

Prior to commencing arbitration, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days following written notice of the dispute.
